Terms of Service

Qualia is provided by Sentez Inc., 131 Continental Dr, Suite 305, Newark, Delaware 19713, United States. By accessing or using Qualia, you agree to these Terms. If you use Qualia for an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

If you do not agree to these Terms, do not access or use Qualia. A separate written order form, data processing agreement, or enterprise agreement may apply. If it conflicts with these Terms, the signed agreement controls for that conflict.

Qualia lets organizations define AI employees in plain language, connect authorized business tools, maintain operational context and memory, generate analysis and drafts, coordinate workflows, and take configured actions subject to permissions and approval controls.

We may improve, modify, add, or remove service features. We may suspend a feature when reasonably necessary for security, legal compliance, maintenance, or third-party service changes. We will provide notice of material changes when reasonably practicable.

You must be at least 18 years old and legally able to enter into a binding contract. Qualia is intended for business use, not personal or household use by children.

You must provide accurate account information, keep credentials confidential, use reasonable security measures, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account and for your authorized users’ compliance with these Terms.

You may not use Qualia to violate law or another person’s rights; submit content you lack permission to use; generate or distribute unlawful, fraudulent, deceptive, harmful, discriminatory, infringing, or malicious material; develop malware; interfere with service operation; bypass safeguards or usage limits; probe or test vulnerabilities without permission; or enable unauthorized access to systems or data.

You may not reverse engineer or attempt to extract source code, models, or underlying components except where the law expressly permits it; resell or provide the service to third parties unless authorized in writing; use automated means to scrape the service; or use outputs to build or train a competing model or service where prohibited by your plan or agreement.

We may investigate suspected misuse and suspend or terminate access when reasonably necessary to protect Qualia, our users, third parties, or the public.

As between you and Sentez Inc., you retain ownership of the prompts, files, records, messages, and other content you submit or make available through connected services (“Customer Data”). You grant us a limited, worldwide right to host, copy, process, transmit, and display Customer Data only as needed to provide, secure, support, and improve Qualia and to comply with law.

You represent that you have all rights and permissions needed for Customer Data and for the instructions you give Qualia. You are responsible for your data sources, notices, consents, retention choices, and the legality of actions taken through your connected services.

Customer data is not used to train foundation models. Feedback and suggestions may be used without restriction or compensation, provided we do not publicly identify you as their source without permission.

Qualia may connect with third-party products and services. Your use of them is governed by their own terms and privacy policies. You authorize us to exchange information with a connected service according to the permissions and instructions you configure.

We do not control third-party services and are not responsible for their availability, security, changes, or actions. You may disconnect an integration, but doing so may limit Qualia’s functionality. You are responsible for reviewing requested scopes and maintaining appropriate permissions.

Qualia uses artificial intelligence and automated systems. Outputs may be incomplete, inaccurate, offensive, or similar to content generated for others. They are not legal, financial, medical, employment, tax, or other professional advice, and they do not replace qualified judgment.

You are responsible for evaluating outputs and for decisions or actions based on them. Use approval settings appropriate to the potential impact. Money-touching actions and actions that cannot reasonably be reversed should remain subject to human review. Do not use Qualia as the sole basis for decisions that produce legal or similarly significant effects on a person unless your use complies with applicable law and includes appropriate human oversight.

Paid plans, usage limits, billing periods, and fees are described at purchase or in an order form. Unless stated otherwise, fees are charged in advance, non-refundable except where required by law, and exclusive of taxes. You authorize us and our payment provider to charge the selected payment method.

We may change prices or plan limits with advance notice. If payment is overdue, we may limit or suspend paid features after providing notice where practicable. You are responsible for applicable taxes other than taxes on our net income.

Sentez Inc. and its licensors own Qualia, including its software, design, documentation, brands, and underlying technology. Except for the limited right to use the service under these Terms, no rights are transferred to you.

Subject to applicable law and third-party rights, you may use outputs generated for you for your internal business purposes. Because AI can generate similar material for different users, outputs may not be unique, and we do not guarantee that an output qualifies for intellectual-property protection.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use Qualia during your subscription or authorized evaluation for your internal business purposes.

Each party may receive non-public information that should reasonably be understood as confidential. The receiving party will use it only to perform or receive the services, protect it with reasonable care, and disclose it only to people who need it and are bound by confidentiality obligations.

Confidential information does not include information that becomes public without breach, was already lawfully known, is received lawfully without restriction, or is independently developed. A party may disclose information when legally required after giving notice where permitted.

You may stop using Qualia at any time. Subscription cancellation and renewal terms shown at purchase or in an order form apply. We may suspend or terminate access for material breach, nonpayment, security risk, unlawful use, or conduct that could harm Qualia or others.

After termination, your right to use the service ends. Provisions that by their nature should survive will survive, including ownership, confidentiality, disclaimers, limits of liability, indemnity, dispute terms, and accrued payment obligations. Data export and deletion are handled according to the applicable plan, agreement, and Privacy Policy.

To the maximum extent permitted by law, Qualia is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service or AI outputs will be uninterrupted, error-free, secure, accurate, or suitable for every use.

Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, even if advised that such damages are possible.

To the maximum extent permitted by law, Sentez Inc.’s total liability arising out of or relating to Qualia or these Terms will not exceed the amount you paid to Sentez Inc. for Qualia during the 12 months before the event giving rise to the claim, or US $100 if you used the service without charge.

These limitations do not apply where prohibited by law and do not limit liability that cannot legally be limited.

You will defend and indemnify Sentez Inc. and its affiliates, officers, employees, and agents from third-party claims, damages, losses, and reasonable legal fees arising from your Customer Data, your use of Qualia in violation of these Terms or law, your connected services, or your infringement of another person’s rights. This obligation does not apply to the extent a claim results from our breach of these Terms.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. The state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising from these Terms or Qualia, and each party consents to their jurisdiction and venue.

Before filing a claim, each party agrees to try in good faith for 30 days to resolve the dispute informally by written notice. This does not prevent either party from seeking urgent injunctive relief or pursuing a matter in small claims court where eligible.

We may update these Terms. We will post the revised version and update the effective date, and we will provide additional notice of material changes when required. Continued use after the effective date of revised Terms constitutes acceptance where permitted by law.

You may not assign these Terms without our consent. We may assign them in connection with a corporate transaction or by operation of law. Neither party is liable for delay caused by events beyond reasonable control. If a provision is unenforceable, the remaining provisions stay effective. A failure to enforce a provision is not a waiver. These Terms and any applicable signed agreement are the entire agreement concerning Qualia.
